These terms apply when you use logosmodular.com or buy LOGOS licences or engineering services from LOGOS Modular Systems LLC (“LOGOS”, “we”, “us”). By placing an order or using the site you agree to them. If you buy for an organisation, you confirm you may bind it to these terms, and “you” means that organisation. Use of the LOGOS software itself is governed by the LOGOS End-User Licence Agreement (“EULA”) shown when it is installed; if the two conflict about the software, the EULA wins.
1. Accounts
Keep your account details accurate and your password private. You are responsible for what is done through your account, and should tell us promptly if you think it has been misused.
2. Orders, prices, and taxes
- Prices are in U.S. dollars. Applicable sales, use, and similar taxes are added at checkout or on the invoice where the law requires us to collect them. You are responsible for any other taxes, duties, or bank charges.
- An order is accepted when we confirm it and payment clears. We may refuse or cancel an order — for example, if a price was shown in error, if we suspect fraud, or if the sale would break export law — and will refund anything paid.
- Quotes, purchase orders, and invoices are available on request; unless a quote says otherwise, invoices are due within 30 days.
3. Licences and subscriptions
- Licence keys are delivered electronically by email and in My Account; no physical goods are shipped.
- Each seat is a licence for one named computer for the term bought (normally one year), with the programs and rights of its seat type, plus updates and support during the term. A key can carry several seats.
- Subscriptions do not renew automatically. We will contact you before the term ends to arrange renewal; a key keeps working to the end of its term.
- Seats may be moved to a replacement computer on request. Licences may not be resold, shared beyond their seats, or transferred to another organisation without our written consent.
- You may not copy, reverse engineer, or work around the licensing of the software except as the law expressly allows.
4. Refunds
If LOGOS is not right for you, ask for a refund within 30 days of purchase and we will refund the seats that have not been activated, and consider activated seats in good faith. After 30 days fees are non-refundable, except where the law requires otherwise or where we end your licence without cause.
5. Engineering services
Consulting and engineering engagements are governed by their own written proposal or contract, which sets out scope, fees, deliverables, and ownership of results. Where a proposal is silent, these terms apply.
6. Export control
LOGOS software and technical data may be subject to U.S. export control and sanctions laws. You agree not to export, re-export, or give access to them in breach of those laws, including to sanctioned countries or restricted parties, and you are responsible for the export classification of any data you create with them.
7. Engineering responsibility
LOGOS is a tool for qualified engineers. Its results depend on the models, data, and assumptions you give it. You are responsible for checking results and for the design, safety, and certification decisions you make with them.
8. Intellectual property and feedback
The software, this site, and their content belong to LOGOS or its licensors. Your models and data remain yours. If you send us suggestions or bug reports, we may use them to improve LOGOS without obligation to you.
9. Warranty
Any warranty for the software is given in the EULA. Otherwise, and to the extent the law allows, the site, software, and services are provided “as is”, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the extent the law allows, LOGOS is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or use, however caused. Our total liability arising from the site, software, or services is limited to the amount you paid us for them in the twelve months before the claim. Nothing here limits liability that cannot be limited by law.
11. Indemnity
You agree to defend and indemnify LOGOS against third-party claims arising from your breach of these terms or the EULA, or from your misuse of the software.
12. Governing law
These terms are governed by the laws of the State of Colorado and applicable U.S. federal law, without regard to conflict-of-law rules. The state and federal courts located in Denver, Colorado have exclusive jurisdiction, and both parties consent to them. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
13. General
We may update these terms; the version in force when you place an order applies to that order. If a provision is unenforceable, the rest stays in effect. Failing to enforce a provision is not a waiver. These terms, the EULA, and any signed proposal are the whole agreement about their subject.
